These Terms of Service ("Terms") govern your access to and use of the website and services provided by MarvisLab Technologies ("MarvisLab," "we," "us," or "our"). By accessing or using our website, you agree to be bound by these Terms.
1. Services
MarvisLab provides custom software development, web design, application development, UI/UX design, API integrations, payment systems, and related digital services. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate Statement of Work (SOW) or contract agreed upon by both parties.
2. Use of Website
You may use our website for lawful purposes only. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the website or its content without our express written permission. All content on this site, including text, graphics, logos, and code examples, is the property of MarvisLab Technologies and is protected by intellectual property laws.
3. Client Obligations
When engaging our services, you agree to provide accurate and complete information necessary for the execution of the project, respond to requests for feedback and approvals in a timely manner, designate a primary point of contact with decision-making authority, and ensure that any materials you provide (logos, content, data) do not infringe on any third-party rights.
4. Payments and Billing
Payment terms will be outlined in the project agreement or SOW. Unless otherwise agreed, a deposit is required before work begins. All fees are non-refundable except as outlined in our Refund Policy. Late payments may result in suspension of work and may incur additional charges.
5. Intellectual Property
Upon full payment, you will own the final deliverables as specified in the project agreement. MarvisLab retains the right to use general knowledge, skills, techniques, and experience gained during the engagement. We may also showcase completed work in our portfolio unless a non-disclosure agreement (NDA) is in place.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of any agreement between the parties. If required, we are happy to sign a mutual NDA before the start of a project.
7. Limitation of Liability
To the maximum extent permitted by law, MarvisLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services. Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim.
8. Warranties and Disclaimers
Our website and its content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses. For project engagements, specific warranties will be defined in the project agreement.
9. Termination
Either party may terminate a project engagement in accordance with the terms specified in the project agreement. We reserve the right to suspend or terminate your access to our website at any time for violation of these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website following the posting of revised Terms constitutes your acceptance of the changes.
